These general terms and conditions of sale apply between:
The company BOLZE & MOOGY (Trade name: BOBBIES), SAS with a capital of 40 000 euros, having its registered office at 17 rue Jacques Bingen - 75017 Paris - FRANCE, registered with the RCS of Paris under the number 519 441 190, code NAF 4771Z, VAT number: FR55519441190, publisher of the bobbies.com website.
Hereinafter referred to as: "Bobbies"
And:
Any professional client placing an order with the Bobbies B2B sales department.
Hereinafter referred to as: "The Reseller"
The Reseller declares that he/she has the capacity to enter into this contract, i.e. that he/she has reached the age of majority under guardianship and to be the legal representative of the company he/she represents (or to have delegated authority to place orders on behalf of the company). Order placed by the Reseller implies irrevocable acceptance of these general terms and conditions of sale.
Article 1 – Scope of Application
These General Terms and Conditions of Sale (GTCS) apply to all sales of products made by Bobbies to its professional customers.
Any order implies full and unconditional acceptance of these GTCS.
These GTCS prevail over any other document issued by the Reseller unless Bobbies has given prior written agreement.
Article 2 – Orders
Orders may be placed via purchase order, email, or any other method accepted by Bobbies.
Any order becomes firm and final after validation by Bobbies.
Pre-orders placed of each seasonal collections are firm and cannot be canceled without the prior written agreement of Bobbies.
Article 3 – Prices
Prices are expressed in the currency shown on your quotation, exit warehouse Bobbies.
In exceptional cases, Bobbies may modify certain prices. However, orders already confirmed will remain invoiced at the price set at the time of their validation.
Transport costs, insurance, and any applicable taxes are borne by the Reseller unless otherwise agreed.
Transport costs apply only to orders and restocking orders placed via the B2B website. They are calculated as a percentage of the total order amount depending on the destination region. The transport cost amount is indicated in the order summary.
Article 4 – Payment Terms
Unless otherwise agreed in writing, invoices are payable according to the terms indicated on the invoice.
In the event of late payment, late penalties calculated on the basis of the ECB refinancing rate plus 10 percentage points will apply.
A fixed compensation of €40 for recovery costs will also be due in accordance with Article L441-10 of the French Commercial Code.
Article 5 – Delivery
Delivery times are given for information purposes only and do not constitute a firm commitment.
A delay in delivery shall under no circumstances give rise to order cancellation, penalties, or compensation.
Goods travel at the Reseller’s risk.
It is the Reseller’s responsibility to check the condition of the products upon delivery and to make any reservations with the carrier.
Article 6 – Claims and Returns
Any claim relating to delivered goods (visible defect, quantity error, or incorrect reference) must be made in writing within 7 days of receipt.
After this period, the products will be deemed compliant and accepted.
No return of goods may be made without the prior written agreement of Bobbies.
Article 7 – Warranty
Products benefit from the legal warranty against manufacturing defects.
This warranty does not cover normal wear and tear, improper use, inappropriate storage, or any modification of the products by the Reseller.
Article 8 – Retention of Title
The products sold remain the property of Bobbies until full payment of the price, including principal and accessories.
However, the Reseller bears the risks relating to the products from the moment of delivery.
Article 9 – Intellectual Property
The Bobbies brand, logos, visuals, photographs, and any elements related to the products remain the exclusive property of Bobbies.
The Reseller undertakes not to interfere with these rights and not to use brand elements without prior authorization.
Article 10 – Pricing Policy
The indicated retail prices are recommended retail prices and include all taxes (TTC).
The Reseller remains free to determine its resale prices.
However, the Reseller undertakes to preserve the brand image of Bobbies products and not to apply pricing policies that are clearly detrimental to their positioning.
Article 11 – Brand Image and Merchandising
The Reseller undertakes to present and sell Bobbies products in an environment consistent with the brand’s image and premium positioning.
Products must be presented in conditions that highlight their quality and identity.
Bobbies reserves the right to refuse any collaboration with a point of sale whose environment could damage the brand image.
Article 12 – Online Sales and Marketplaces
The sale of Bobbies products is reserved for the Reseller’s physical points of sale.
Any online sale requires prior written approval from Bobbies.
The sale of Bobbies products on marketplaces such as Amazon, eBay, Cdiscount, Vinted, Zalando Marketplace, or any similar platform is strictly prohibited without prior written authorization from Bobbies.
Article 13 – Grey Market Protection
The Reseller undertakes to sell Bobbies products only to final consumers within its commercial activity.
Any resale to wholesalers, unauthorized resellers, liquidators, or any party likely to supply a parallel market (grey market) is strictly prohibited without prior written agreement from Bobbies.
Article 14 – Territorial Clause
The Reseller may only market Bobbies products in the country in which it is established unless prior written agreement from Bobbies has been obtained.
Any export or resale outside this territory must receive prior authorization.
Article 15 – Minimum Order
Bobbies may set a minimum order requirement for account opening or for restocking.
These minimums may be specified in the commercial terms or purchase orders.
Article 16 – Promotions and Sales
The Reseller undertakes to comply with the applicable regulations regarding sales periods and promotions.
Bobbies products may not be subject to promotions that could damage the brand image.
Article 17 – Stock Liquidation
Any stock liquidation, large-scale clearance, or resale to a stock-clearance operator must receive prior written approval from Bobbies.
Article 18 – Force Majeure
Bobbies shall not be held liable for any delay or non-performance resulting from a force majeure event such as strikes, shortages of raw materials, natural disasters, pandemics, transport delays, or any other circumstance beyond its control.
Article 19 – Termination
In the event of failure by the Reseller to comply with its contractual obligations, Bobbies reserves the right to suspend or cancel any order in progress.
Article 20 – Governing Law and Jurisdiction
These GTCS are governed by French law.
Any dispute relating to their interpretation or execution shall fall under the exclusive jurisdiction of the courts of Paris.
